End-User License Agreement

Introduction

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Vladyslav Fedoniuk ("we", "us", "our") for the use of the FTPie software application, including any components, copies, updates, enhancements, or subsequent versions thereof ("Software"), as well as any associated media, printed materials, and electronic documentation ("Documentation").

Grant of License

We grant you a personal, non-exclusive, non-transferable, limited license to install and use the Software on your device(s) as long as you comply with the terms of this EULA. This license does not allow you to use the Software on multiple devices simultaneously unless additional licenses have been purchased.

Trial Period

The Software may be used free of charge for an initial 7-day trial period. At our discretion, this trial may be extended for one additional 7-day period. All trial usage is subject to the terms of this EULA.

Subscription Terms

For subscription licenses:

• Subscriptions are billed monthly in advance
• Your subscription will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
• You may cancel your subscription at any time through your account settings
• No refunds are provided for partial subscription periods

Refund Policy

For purchases of perpetual licenses, we offer a 30-day money-back guarantee from the date of purchase. To request a refund, please contact us at [email protected]. Refund requests for subscription payments will be considered on a case-by-case basis.

Restrictions

You agree not to:

• Use the Software in any manner that exceeds the rights granted under this EULA
• Modify, reverse engineer, decompile, or disassemble the Software
• Sell, rent, lease, sublicense, or distribute the Software to third parties
• Remove or alter any proprietary notices or labels on the Software
• Use the Software for any unlawful purpose or in a way that violates any applicable law or regulation
• Bypass or attempt to bypass any license enforcement mechanisms

Ownership

All title, ownership rights, and intellectual property rights in and to the Software and Documentation are owned by Vladyslav Fedoniuk. The Software is licensed, not sold. You do not acquire any ownership rights in the Software or Documentation through this EULA.

Automatic Updates

The Software may automatically download and install updates from time to time. These updates are designed to improve and enhance the Software and may take the form of bug fixes, enhanced functions, or completely new versions. You may disable automatic updates in the Software settings, but we strongly recommend keeping your Software updated for optimal performance and security.

Data Collection

The Software operates locally on your device and does not automatically transmit any user data to us. You may voluntarily submit error logs to help us diagnose technical issues. No personally identifiable information or sensitive data is collected through the Software. For information about data collected through our website, please see our Privacy Policy.

No Warranties

The Software is provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will meet your requirements, operate without interruption, or be error-free.

Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use of or inability to use this Software, even if we have been advised of the possibility of such damages.

In any case, our entire liability under any provision of this EULA shall be limited to the amount actually paid by you for the Software in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Vladyslav Fedoniuk from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in any way related to your use of the Software or your breach of this EULA.

Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from us if you fail to comply with any term(s) of this EULA. Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software.

For subscription licenses, termination of this EULA will result in the immediate cessation of your right to use the Software, without entitlement to refund of any prepaid fees.

Export Restrictions

You agree not to export or re-export the Software in violation of any applicable export control laws or regulations, including without limitation the laws and regulations of Poland, the European Union, and the United States.

Assignment

You may not assign this EULA or any rights hereunder without our prior written consent. We may assign this EULA without restriction, including to any successor in interest of our business.

Governing Law and Jurisdiction

This EULA will be governed by and construed in accordance with the laws of Poland. Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in Rzeszow, Poland.

General

This EULA constitutes the entire agreement between you and Vladyslav Fedoniuk concerning the Software and supersedes any prior agreements, representations, or understandings. If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.

We reserve the right to modify this EULA at any time. Such modifications will be effective immediately upon posting on our website or through notification within the Software. Your continued use of the Software after such modifications constitutes your acceptance of the modified terms.
