End-User License Agreement

Introduction

This End-User License Agreement ("EULA") is an agreement between you (an individual or a single entity) and Vladyslav Fedoniuk, who runs FTPie as a sole proprietorship registered in Poland ("we", "us", "our"), for the FTPie software, including its updates and later versions ("Software"), and its documentation.

Our Terms of Service cover the website and the optional online services, such as FTPie links and FTPie mail. Our Privacy Policy explains what personal data we process and why.

Grant of License

We grant you a personal, non-exclusive, non-transferable, limited license to install and use the Software as long as you comply with this EULA. A paid license may be used on up to three (3) devices that you own or control; more devices need more licenses. Commercial use is permitted under a paid license.

Free Plan

The Software may be used free of charge, indefinitely, under the Free plan. The Free plan is for personal, non-commercial use only and is limited to the features and number of server connections described on our website (currently up to three FTP, FTPS or SFTP connections). All other features require a paid license or an active trial.

Trial Period

A new installation includes a 30-day trial of all paid features, with no payment required. We may extend the trial once after you verify your email address. When the trial ends, the Software continues under the Free plan unless you buy a license.

Paid Licenses and Subscriptions

Paid licenses are sold on our website as monthly or yearly subscriptions or as a one-time lifetime license, at the prices shown there, which may be adjusted to your region.

• Subscriptions are billed in advance each month or year and renew automatically unless cancelled before the renewal date
• You can change or cancel a subscription at any time on the manage subscription page. Paid features stay until the end of the paid period; then the Software continues under the Free plan, and your data, connections and settings are kept
• A lifetime license is a one-time purchase for perpetual use of the versions released during its update period of two (2) years. After that, the version you have keeps working; renewing for further updates is optional and discounted

Refund Policy

We offer a 30-day money-back guarantee on every purchase, subscriptions and lifetime licenses alike. Submit a refund request or write to contact@ftpie.com; requests after 30 days are reviewed case by case. This guarantee is in addition to your rights as a consumer.

Restrictions

You agree not to:

• Use the Software beyond the rights granted in this EULA
• Modify, reverse engineer, decompile or disassemble the Software
• Sell, rent, lease, sublicense or distribute the Software
• Remove or alter any proprietary notices
• Use the Software for any unlawful purpose
• Bypass license enforcement or the limits of our online services

Ownership

The Software and its documentation, and all intellectual property in them, belong to Vladyslav Fedoniuk. The Software is licensed, not sold. Third-party components it includes, such as the Chromium Embedded Framework, are provided under their own licenses.

Updates and Supported Versions

The Software installs updates automatically and tells you when one is available. Updates carry fixes, including fixes for problems that can affect your data, so you must keep the Software up to date and use the latest version. If you turn automatic updates off, installing them is up to you. We fix problems in the latest version only, and to the extent permitted by law we are not liable for a problem that an available update fixes if you have not installed it.

Internet Connection and Online Services

The Software contacts our servers to check your license or trial (when it starts and when your license changes), to receive its configuration, which turns features on or off, to check for updates, and to show current plans and prices. These requests carry your license key and a device identifier the Software derives from Windows, and our servers see your IP address. They never carry your files, passwords or connection details. Being offline does not interrupt a valid license.

With a trial or paid license, the Software also offers optional online services that we host: FTPie links (sharing screenshots, notes and storage links through ftpie.link) and FTPie mail. They are used only when you choose them, and our Terms of Service apply to them. We may limit, change, suspend or end any online service; the Software keeps working without it.

Your Files and Privacy

Your files, passwords, storage credentials and connection details stay on your device and travel directly to the servers and storage services you connect to; we do not receive them. We receive content only when you send it to us: items you share through FTPie links, mail sent through FTPie mail, and error reports or feedback. An error report can include recent log files, which may contain server addresses, user names and file names. Details are in our Privacy Policy.

Third-Party Services

The storage services and servers you connect to are run by others, under their own terms. We are not responsible for their availability, their changes or how they handle your data. A change by a provider can stop a feature from working until we update the Software.

Your Data and Backups

The Software copies, moves, renames, uploads and deletes files on your instructions, including in scheduled and automated tasks that run unattended. Software can contain errors, and networks, servers and storage can fail mid-operation. You are responsible for:

• keeping independent backups of data that matters to you
• checking the results of operations on important data
• trying new settings on data you can afford to lose

We work hard to make the Software reliable and to fix the problems we find, but we do not guarantee that any operation completes correctly. To the maximum extent permitted by law, we are not liable for any loss, corruption or deletion of data, or for the cost of recovering it.

No Warranties

The Software is provided "as is", without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that it will meet your requirements, run without interruption or errors, work with every server, storage service or file, or transfer or keep data without loss.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for any damages arising from the use of or inability to use the Software, including loss of profits, business interruption, loss of business information, or loss or corruption of data, even if advised of their possibility. Our total liability under this EULA is limited to the amount you paid for the Software in the 12 months before the claim.

Nothing in this EULA limits liability that cannot be limited under applicable law, such as for damage caused intentionally or, where the law requires, by gross negligence, for personal injury, or under mandatory product liability law. If you are a consumer, your statutory rights are not affected.

Indemnification

You agree to indemnify and hold harmless Vladyslav Fedoniuk against any claims, damages, losses and costs (including reasonable legal fees) arising from your use of the Software or your breach of this EULA.

Termination

This EULA lasts until terminated. It ends automatically if you breach it; you must then stop using the Software and delete all copies. A subscription ended this way is not refunded.

Export and Assignment

You may not export the Software in breach of export control laws, including those of Poland, the European Union and the United States. You may not transfer this EULA without our written consent. We may transfer it, including to a successor of our business, such as a company formed to run FTPie.

Governing Law and Jurisdiction

This EULA is governed by the laws of Poland. If you use the Software for business purposes, the courts of Rzeszów, Poland have exclusive jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and may bring proceedings in its courts.

Changes and General

We may update this EULA, for example when we add features or online services or when the law changes. We post the new version here with a new date and announce significant changes on our website or in the Software. If you keep using the Software after a change takes effect, the updated EULA applies; if you do not agree, stop using it.

This EULA, with the Terms of Service and the Privacy Policy where they apply, is the entire agreement between you and us about the Software. If any provision is invalid, the rest remain in force.
